These terms cover design work provided by Tri Lion Studios ("Tri Lion," "we," "us") to you ("the client"). They apply to all projects, including brand and logo design, web design and development, and UX/UI work, unless a separate signed agreement says otherwise.
Rights and ownership
Rights. All work we produce is for the exclusive use of the client, other than Tri Lion's own promotional use (see Samples below). Upon payment of all fees, the following reproduction rights for every approved final design are granted:
Full, transferable rights to the brand identity.
Full license to reproduce the work through commercial printers and digital channels.
Ownership. The client owns all final artwork created during the project once the agreed fees are paid in full.
Confidentiality and AI use
All concepts, sketches, drafts, and presentation files provided by Tri Lion Studios are confidential work products and remain the property of Tri Lion Studios until final payment is received and final files are delivered. The client agrees not to upload, input, or share any of these materials with any artificial intelligence tool, image generator, or similar service; this includes using them as prompts, references, or source material, or combining them with other work. Unselected concepts remain the sole property of Tri Lion Studios and may not be used, altered, or reproduced in any form. A violation of this section may result in additional fees or termination of the agreement.
This applies to all work types, including brand and logo design, web design and development, and UX/UI work.
Payment schedule
Delayed payment. If, after a project has commenced, an invoice is not paid within 30 days, a 5% delayed-payment fee will be added. That 5% is applied again for each additional 30-day period until the balance is paid in full.
Cancellation
If, after a project has begun, client communication (in person, by phone, or by email) stops for 180 days, Tri Lion may cancel the project in writing, and ownership of all copyrights is retained by Tri Lion. A cancellation fee for work completed is due from the client, based on the stage of completion; the fee will not exceed 100% of the total project cost.
Miscellaneous
Samples. Where possible, we ask the client to provide samples of printed or produced work that result from the project. Tri Lion may use such samples, and may photograph completed designs or installations, for publication, exhibition, portfolio, and other promotional purposes. Promotion helps both parties.
Client confidential material. The client must tell Tri Lion in writing, before the project begins, if any material or information the client provides, or any part of the project, is confidential.
Indemnity. The client agrees to indemnify and hold harmless Tri Lion Studios from any claims, demands, losses, causes of action, damages, lawsuits, and judgments, including attorneys' fees and costs, to the extent caused by or arising out of content, materials, or instructions supplied by the client.
Acceptance
A copy of these terms is supplied by email along with the first invoice. Acceptance may be stated in an email reply, or is implied by payment of the first invoice.
